The shareholders were also presented with a review of KLM’s financial results for fiscal 2015 and a forecast of KLM’s strategy for the coming years. Ensuing decisions, including the remuneration policy to be followed, have also been approved. The Works Council responded positively on notification to this effect.

]]>At the 2015 AGM, it was announced that five vacancies would arise on the Supervisory Board, as Mr H.N.J. Smits, Ms I.P. Asscher-Vonk, Mr P.C. Calavia, Mr H. Guillaume and Mr R.J. Laan were all scheduled to reach the end of their tenure. At today’s AGM, the following members were (re)appointed to the KLM Supervisory Board:

  • Mr H.N.J. Smits for a fourth and final term of three years;
  • Ms I.P Asscher-Vonk for a fourth and final term of one year;
  • Mr P.C. Calavia for a second term of four years;
  • Mr P.F. Riolacci for a first term of four years;
  • Mr F. Enaud for a first term of four years.

Positive results for 2015
Looking back on the past year, KLM saw the first results of its strategy to cut costs on one hand and pursue investment on the other. The annual results revealed a positive trend. In February 2016, KLM announced an operating result of EUR 384 million and a modest profit of EUR 54 million. Also KLM’s EBITDA has increased from EUR 731 million to EUR 911 million. Net debt was reduced and equity improved. In the first quarter of 2016, capacity was increased by 3.9% and KLM saw passenger traffic increase by 10%.

It is important that we give all the correct information. In the years to come, we will cooperate constructively within the Group,” says Hans Smits, chairman of KLM’s Supervisory Board.

 

]]>In 2016, two seats will open up on the Air France KLM Group Supervisory Board. At that time, Cees van Lede and Leo van Wijk will step down as their last terms of office come to an end. This will make space for Mr Smits. Peter Hartman, vice-chairman of the AFKL Group’s Supervisory Board looks forward to passing his position on to Mr Smits. Mr Hartman will then remain on the Board as a non-executive member.

“Following these changes, the balance within the Supervisory Board between Air France and KLM will remain unchanged,” Mr Smits says.

It had been decided at an earlier date that Hans Smits would be present at the Board meetings as an auditor. At the same time, Pierre-François Riolacci will join the KLM Supervisory Board meetings. All of this is part of the process to strengthen the cooperation within the AFKL Group.

Mr ‘t Hart will take up a position which is being vacated on the same date by Kees Storm. Mr Storm is leaving the board after completing the maximum term of 12 years.

Cees ‘t Hart (1958) has been Chief Executive Officer of the multinational FrieslandCampina since 2009. Before joining FrieslandCampina in 2008, Mr ‘t Hart held a range of international management positions at Unilever, including Vice President Foods Asia Pacific in Singapore, Chief Executive Officer Unilever Poland, and Chief Executive Officer Lever Fabergé Italy. He is chairman of the Dutch Dairy Association (NZO) and chairman of the Dutch government agency Topsector Agri&Food.
